These Terms govern the use of xPointLabs, including workspaces, connected sources, AI-generated analytics, subscription plans, reporting, and team access.

1. Acceptance of These Terms

These Terms of Service govern access to and use of the xPointLabs website, application, analytics platform, integrations, reports, and related services (collectively, the Service).

By creating an account, accessing a workspace, using the Service, or allowing users within your organization to do so, you agree to be bound by these Terms. If you are using the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

xPointLabs is a product operated by Trustity Ltd.

2. Description of the Service

xPointLabs is a business software platform that connects to customer conversation data and generates analytics, classifications, scoring, clustering, reporting, trend analysis, and related business intelligence.

Features may include data ingestion, workspace management, source sync, AI-assisted analysis, reports, billing controls, usage metering, and team access management. We may add, modify, or retire features over time.

3. Eligibility and Organizational Authority

You must be legally capable of entering into a binding agreement and, if acting on behalf of an organization, authorized to do so. The Service is intended for business and professional use, not for personal consumer use.

4. Accounts, Workspaces, and Security

Customers are responsible for account setup, workspace administration, team invitations, role assignments, and maintaining the confidentiality of credentials. Customers must promptly update inaccurate account information and notify us of suspected unauthorized access.

Workspace owners and administrators are responsible for the acts and omissions of users they invite into their workspaces, including the permissions granted to those users.

5. Customer Responsibilities

Customers are responsible for:

  • ensuring they have rights and authority to connect, upload, or process data through the Service;
  • configuring their workspaces appropriately and managing access responsibly;
  • reviewing AI-generated or automated outputs before relying on them in important contexts;
  • complying with applicable laws, regulations, and internal obligations relating to their data;
  • avoiding submission of data that is unlawful, infringing, or outside the customer’s authority to process.

6. Acceptable Use

You may not use xPointLabs to:

  • violate law or third-party rights;
  • submit malicious code, attempt unauthorized access, or interfere with Service security;
  • abuse integrations, overburden infrastructure, or bypass plan controls or rate limits;
  • process information you are not permitted to disclose or analyze;
  • use the Service in a way that could create material harm to others without reasonable human review.

7. Customer Data and Rights

Customers retain ownership of their data. By using the Service, customers grant xPointLabs a limited, non-exclusive right to host, store, process, transmit, analyze, display, and otherwise use customer data solely as necessary to provide, maintain, secure, and improve the Service for that customer.

This includes generating analytics, classifications, clustering, scoring, reports, and similar outputs within the scope of the Service.

8. AI-Specific Terms and Output Limitations

Certain features rely on AI systems and probabilistic models. As a result, outputs may contain inaccuracies, incomplete analysis, false positives, false negatives, or interpretations that do not match every business context.

Customers remain responsible for reviewing outputs before relying on them for operational, commercial, legal, financial, or customer-impacting decisions. xPointLabs does not guarantee that AI-generated insights will be factually accurate, complete, or fit for every use case.

9. Third-Party Services and Integrations

The Service may depend on or interoperate with third-party providers, including infrastructure, storage, billing, database, and AI providers. Your use of the Service may also require valid third-party credentials or integration access supplied by you.

xPointLabs is not responsible for third-party services outside our reasonable control, including changes to provider APIs, outages, pricing changes, or separate terms imposed by those providers.

10. Billing, Subscriptions, and Plan Limits

Paid subscriptions are billed on a recurring basis through the billing provider configured for the Service. Plans may include usage limits, token budgets, data source limits, workspace-level feature restrictions, and other commercial controls.

If payment is not completed, a subscription is cancelled, or plan limits are reached, xPointLabs may restrict, suspend, or reduce access to features until the issue is resolved.

We may update pricing, plan structure, or included allowances from time to time. Any such changes will apply prospectively unless otherwise stated.

11. Suspension, Termination, and Effects of Termination

We may suspend or terminate access to the Service if we reasonably believe a customer or user has violated these Terms, failed to pay for the Service, created security risk, or used the Service in a manner that threatens the platform, other users, or third parties.

Upon termination or closure, access to the workspace may end, and certain customer data may be deleted according to our retention practices. However, billing, audit, security, dispute-related, and compliance-related records may be retained as reasonably necessary.

12. Intellectual Property

xPointLabs and its licensors retain all rights, title, and interest in and to the Service, including the platform software, models, workflow design, visual interfaces, documentation, branding, and related intellectual property.

Customers retain ownership of their own data and materials, subject only to the limited rights granted to xPointLabs to provide the Service.

13. Confidentiality and Sensitive Data Caution

Customers should use caution when submitting highly sensitive, regulated, or confidential information. Unless separately agreed in writing, customers are responsible for determining whether the Service is appropriate for the categories of information they choose to process.

Where we receive customer confidential information through the ordinary use of the Service, we will handle that information in accordance with our internal safeguards and the applicable customer relationship.

14. Disclaimers

The Service is provided on an as is and as available basis, to the maximum extent permitted by law. Except as expressly stated by us in writing, we disclaim implied warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

15. Limitation of Liability

To the maximum extent permitted by law, xPointLabs will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, goodwill, data, or business opportunities arising out of or related to the Service.

Founder/legal review required: insert the desired direct damages cap and any jurisdiction-specific limitations once commercial counsel confirms the preferred language.

16. Indemnity

You agree to defend, indemnify, and hold harmless xPointLabs and its personnel from third-party claims, losses, liabilities, and expenses arising from your use of the Service in violation of these Terms, your data, or your infringement of third-party rights, except to the extent caused by our own breach of these Terms or applicable law.

17. Governing Law and Disputes

Founder/legal review required: insert governing law, venue, dispute resolution method, and any mandatory local clauses once the company decides its legal jurisdiction.

18. Changes to These Terms

We may revise these Terms from time to time. If we make material changes, we may provide notice through the Service, by email, or by other reasonable means. Continued use of the Service after the effective date of updated Terms constitutes acceptance of the revised Terms.
